Comparing Two Contracts

Contract Comparison mode shows you exactly what changed between two versions of a contract - and how the risk profile shifted.


When to use Contract Comparison

  • ✅ A vendor returned a redline of your draft
  • ✅ You’re comparing this year’s renewal to last year’s contract
  • ✅ You’re evaluating two competing vendor proposals
  • ✅ You want to assess whether revisions actually improved the contract

How to run a comparison

  1. Open Contract Risk Scanner in Copilot
  2. Upload both contracts (label them clearly: “v1” and “v2”, or “original” and “revised”)
  3. Prompt:

“Compare these two contracts and show me what changed”

The agent will ask which is the baseline if it’s unclear.

Recommendation

A bottom-line read on whether to accept the revisions:

🚨 Do not accept as-is. The revision removed key protections (termination for convenience, liability cap) while adding obligations. Push back on these 3 items before signing.


Best practices

  • Label your files clearly before uploading
  • Specify which is the baseline if order matters
  • Use the same risk register that scored the original (if using a custom one)
  • Save both scans + comparison for audit trail

Limitations

  • Comparison works best on versions of the same contract, not unrelated contracts
  • Very large contracts (>50 pages) may take longer
  • Comparison is text-based - formatting/style changes are ignored

Scenario: Vendor returns redline of your SaaS MSA.

Workflow:

  1. Save the vendor’s redline as acme_msa_vendor_redline.docx
  2. Save your original as acme_msa_original.docx
  3. Open Contract Risk Scanner
  4. Upload both files
  5. Prompt: “Compare these - original first, then vendor redline.”
  6. Review the delta table
  7. Use the comparison output to brief your legal team
