Analysis Modes

Contract Risk Scanner for Microsoft 365 supports four analysis modes, each tuned for a specific use case.


Choosing a mode

At the start of every session, the agent will ask which mode to use. You can also specify a mode in your prompt:

“Run a Quick Scan on this contract”
“Do a Negotiation Prep review”

If you don’t specify, the agent defaults to Quick Scan.


Mode 1 - 🏃 Quick Scan

Best for: Triage. You need to know fast whether this contract needs deeper review.

Output depth: Light
Typical time to read: ~30 seconds

Includes:

  • Executive summary
  • Risk score and recommendation band
  • Top 5 risks (highest severity only)
  • Bottom-line recommendation

Use when:

  • Triaging incoming contracts
  • Deciding whether to escalate
  • Running through a backlog of agreements

Example prompt:

“Run a Quick Scan and tell me if this needs legal review”


Mode 2 - 🎯 Negotiation Prep

Best for: Preparing for a vendor negotiation.

Output depth: Deep
Typical time to read: 5–10 minutes

Includes:

  • Everything in Quick Scan
  • Full risk register (all severities)
  • Suggested redlines with current vs. proposed language
  • Negotiation questions ranked by priority
  • Optional executive summary email draft

Use when:

  • About to enter a negotiation
  • Preparing a markup for counsel
  • Building a redline strategy

Example prompt:

“Negotiation Prep - I’m meeting the vendor tomorrow”


Mode 3 - 🔐 Vendor Risk Review

Best for: Evaluating a vendor before engagement, especially when they’ll handle sensitive data.

Output depth: Targeted (security/compliance heavy)
Typical time to read: 5 minutes

Includes:

  • Executive summary
  • Security, compliance, and data handling focus
  • Subprocessor analysis
  • Incident notification review
  • Encryption and certification checks
  • Cyber insurance adequacy

Use when:

  • Onboarding a new vendor
  • Performing vendor due diligence
  • Regulated industry contracts (HIPAA, GDPR, PCI)

Example prompt:

“Vendor Risk Review focused on data handling for this DPA”


Mode 4 - 🔀 Contract Comparison

Best for: Reviewing a counterparty’s revision to your draft.

Output depth: Comparative
Typical time to read: 3–5 minutes

Includes:

  • Delta table (what changed: added, removed, modified)
  • Net risk score change
  • New risks introduced
  • Resolved risks
  • Recommendation on accepting revisions

Use when:

  • Vendor returns a redlined version
  • Comparing two contract templates
  • Evaluating renewal vs. previous version

Example prompt:

“Compare these two contracts and show me what changed”

Switching modes mid-conversation

You can request a different mode at any time:

“Now do a Negotiation Prep on the same contract”

The agent will re-run analysis at the new depth without requiring re-upload.
